Terms of Service

These Terms of Service ("Terms") govern your use of ClinixQM ("Service"), operated by ClinixQM ("we", "us", "our"). By using the Service, you agree to these Terms.

1. Account Terms

To use ClinixQM, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Be authorized to bind your organization to these Terms
  • Keep your account credentials secure

You are responsible for all activity that occurs under your account.

2. Subscription and Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days' notice
  • You may cancel your subscription at any time; service continues until the end of the billing period

3. Your Data

You retain all rights to the content you create in ClinixQM. You grant us a limited license to store, process, and display your content solely to provide the Service.

You are responsible for:

  • The accuracy and legality of content you upload
  • Maintaining appropriate backups of your data
  • Ensuring your use complies with applicable regulations

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Service
  • Reverse engineer or attempt to extract source code
  • Resell or redistribute the Service without authorization

5. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability, with notice when possible.

6. Intellectual Property

ClinixQM and its original content, features, and functionality are owned by us and are protected by intellectual property laws. Our trademarks may not be used without our prior written consent.

7. Third-Party Services

The Service may integrate with third-party services. Your use of such services is subject to their respective terms and privacy policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data before termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes. Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Disputes shall be resolved in the courts of England and Wales.
